ZD Soft Terms of Use
1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the websites and online pages operated by Shenzhen ZD Soft Co., Ltd. (“ZD Soft”, “we”, “us”, “our”), including any online store, download pages, campaign forms, and email verification flows (collectively, the “Sites”). By accessing or using the Sites, you agree to these Terms.
We may update these Terms from time to time. Material changes will be posted prominently on the Sites. If you continue using the Sites after changes become effective, you accept the updated Terms.
You must be 18 or older (or the age of majority in your jurisdiction) to use the Sites.
2. Relationship to Other Agreements
Your download, installation and use of ZD Soft desktop software (e.g., ZD Screen Marker, ZD Screen Recorder) are governed by the applicable End User License Agreement (EULA). Your use of ZD Screen Recorder SDK is governed by the SDK EULA.
Our handling of personal data is governed by our Privacy Policy.
If there is a conflict: the relevant EULA/SDK EULA prevails for software usage; these Terms govern website use.
3. Site Scope and Features
The Sites provide product information, downloads (including trials with watermarks and prompts), purchasing and subscription flows, license delivery/management, news/tips/promotions, verification codes for certain activities, contact/support forms, and campaign pages for evaluation/experience videos.
4. Accounts, Orders, and Subscriptions
You agree to provide accurate and complete information. Orders are subject to confirmation and applicable pricing/taxes/fees shown at checkout.
Subscriptions may renew automatically or manually, depending on the payment platform integration. The checkout page will display renewal terms (price may differ from first-term promotional pricing). You can manage or cancel future renewals as described at checkout or in our communications.
For one-time purchases (perpetual license), fees grant perpetual software license rights per the applicable EULA.
Licensing/activation limits (including device counts and no over-concurrency) are governed by the EULA/SDK EULA.
5. Acceptable Use
You will not: (a) break or probe Site security; (b) use bots/scrapers to harvest data without written permission; (c) upload or transmit malware or illegal content; (d) infringe others’ rights; (e) misuse verification codes or campaigns; (f) submit logs/videos containing secrets or personal data of others without consent. We may suspend or block access for suspected violations.
6. User Submissions (Feedback, Reviews, Evaluation Videos)
If you submit feedback, testimonials, reviews, logs, or recording-based evaluation/experience videos (which may capture your screen, system audio, microphone, and camera), you represent that you have all necessary rights and consents.
You grant ZD Soft a non-exclusive, worldwide, royalty-free license to use, host, reproduce, and display such submissions for support handling and, when you explicitly agree during a campaign or form, for promotional purposes (e.g., showcasing on the Sites or social channels). You can withdraw promotional consent later; this will not affect prior uses already made in reliance on your consent.
7. Intellectual Property
The Sites and their content (text, graphics, logos, images, downloads, and code) are owned by ZD Soft or its licensors and protected by IP laws. Except as allowed by these Terms or applicable EULA(s), you may not copy, modify, distribute, or create derivative works from Site content without prior written consent.
8. Software Downloads
Any software made available via the Sites is licensed, not sold, and governed by the applicable EULA/SDK EULA shown during installation or download. Trial versions may include watermarks and purchase prompts. Do not attempt to bypass or remove technical measures.
9. Communications; Marketing Emails; Verification Codes
We may send transactional/service messages (e.g., receipts, license details, verification codes) as needed to operate the Sites and fulfill orders.
If you purchase/subscribe, you may receive product news, tips, and promotions by default; each marketing email includes an unsubscribe link. If you join free-subscription or similar campaigns, we obtain your express consent (checkbox) first.
One-time verification codes are used only to verify your email and expire shortly after issuance.
10. Third-Party Services and Analytics
The Sites may link to or integrate third-party services (e.g., payment processors, email delivery, CDN/hosting, and Google Analytics). Those services have their own terms/privacy policies. We are not responsible for their practices.
11. Disclaimers
THE SITES AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY/ERROR-FREE OPERATION). Where your use concerns software, the EULA/SDK EULA disclaimers apply.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZD SOFT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION).
OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SITES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE TRANSACTION GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT, OR (B) USD 100. Different caps may apply under the EULA/SDK EULA for software.
13. Termination
We may suspend or terminate access to the Sites (in whole or part) at any time if we reasonably believe you violated these Terms or to protect the Sites or other users.
14. Governing Law & Dispute Resolution (Hong Kong Arbitration)
These Terms (English version) are governed by the laws of the Hong Kong SAR. Any dispute shall be referred to and finally resolved by arbitration administered by HKIAC under its Administered Arbitration Rules in force when the Notice of Arbitration is submitted. Seat: Hong Kong; law of this clause: Hong Kong law; language: English; tribunal: one arbitrator. Interim relief may be sought from competent courts.
